Terms of Use
These terms govern your access to and use of the Agreely service and this website.
1. Acceptance and service description
Agreely is a consent-accountability service operated by Ophelios Studio ("Agreely", "we", "us"). It lets organizations issue, verify, revoke and prove consent, with cryptographic records and on-chain anchoring of hashes. By creating an account or using the service or this website, you agree to these terms. If you are accepting on behalf of an organization, you represent that you are authorized to bind it.
2. Accounts and eligibility
You must be at least the age of majority in your jurisdiction and able to enter into a contract. You are responsible for the accuracy of your account information, for keeping your credentials confidential, and for all activity under your account. Notify us promptly of any unauthorized use.
3. Acceptable use
You agree not to:
- Use the service unlawfully, or to infringe the rights of others.
- Upload personal information you are not authorized to process, or use the service to create records of consent that were not actually obtained.
- Attempt to breach, probe or disrupt the service, its security, or other customers' isolation.
- Reverse engineer, resell or provide the service to third parties except as permitted.
- Exceed plan limits through automated circumvention.
4. Your responsibilities (controller and processor)
For the personal information you process about your own data subjects using Agreely, you are the controller: you decide why and how that information is handled, and you are responsible for having a lawful basis, for the accuracy of the consent you record, and for honouring your data subjects' rights. Agreely acts as your processor and accountability layer and processes that information on your documented instructions and to provide the service. You are responsible for your own compliance, including under Quebec Law 25.
5. Billing
Paid plans are billed annually, in Canadian dollars. The self-serve tiers are Starter ($89/month), Growth ($299/month) and Business ($999/month), each billed annually (the annual price reflects two months free versus monthly). Enterprise is sales-led with custom pricing and a negotiable contract. A trial may be offered on first subscription.
Fees are due in advance for the billing term. Except where required by law, fees are non-refundable, including for partial periods and for downgrades; you keep access to a paid tier until the end of the term you paid for. We may change pricing for future terms with reasonable notice. Plan limits (such as active records and seats) are enforced; you can upgrade as your usage grows.
6. Availability
We work to keep Agreely available and we offer priority support and a target uptime on higher tiers. This is a good-faith operational target, not a guaranteed service level agreement. A binding SLA is available only where expressly agreed in an Enterprise contract. We may perform maintenance, and the service may be temporarily unavailable for reasons within or outside our control.
7. Intellectual property
Agreely, its software, design, documentation and trademarks are owned by Ophelios Studio and its licensors. We grant you a limited, non-exclusive, non-transferable right to use the service during your subscription. You retain ownership of the data you submit ("your content"); you grant us the rights needed to host and process it to provide the service. Open-source components (for example the protocol and SDKs we publish) are governed by their own licenses.
8. Disclaimers and limitation of liability
The service is provided "as is" and "as available". To the fullest extent permitted by law, we disclaim implied warranties of merchantability, fitness for a particular purpose and non-infringement. Agreely is an accountability and record-keeping tool; it does not provide legal advice and using it does not, by itself, make you compliant with any law. You remain responsible for your legal obligations.
To the fullest extent permitted by law, neither party is liable for indirect, incidental, special or consequential damages, and our total liability arising out of or relating to the service is limited to the amounts you paid us for the service in the twelve months before the event giving rise to the claim. Nothing in these terms limits liability that cannot be limited under applicable law.
9. Termination
You may stop using the service and cancel at any time; cancellation takes effect at the end of the current paid term. We may suspend or terminate access for material breach of these terms, for non-payment, or where required by law, with notice where practicable. On termination we will, on request and within a reasonable period, make your content available for export or delete it, subject to retention obligations described in our Privacy Policy.
10. Governing law
These terms are governed by the laws of the Province of Quebec and the federal laws of Canada applicable there. The courts of the judicial district of the province of Quebec have jurisdiction, subject to any mandatory consumer-protection rules that may apply to you.
11. Changes to these terms
We may update these terms as the service evolves or as the law requires. We will post the updated version here with a new "last updated" date and, for material changes, provide reasonable notice. Continued use after changes take effect means you accept the updated terms.
